Terms of Service

By accessing or using NoctaSell (the "Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

If you are using NoctaSell on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you personally and that entity.

NoctaSell is a cloud-based business management platform designed for small and medium enterprises (SMEs) in Ghana and Africa. The platform provides:

• Point of Sale (POS) — cash, mobile money (MoMo), card, and split payment processing
• Online Storefront — a public-facing store page for your business
• Inventory Management — product catalogues, stock tracking, and variant management
• Order Management — storefront orders, invoicing, and fulfilment tracking
• Invoicing — create, send, and track payment of professional invoices
• Business Wallet — a digital wallet that receives settlements from Paystack-processed payments
• Bulk SMS — send SMS campaigns to your customers via approved Sender IDs
• Customer Management — maintain a customer database with purchase history
• Reports & Analytics — sales reports, revenue summaries, and audit logs
• Team Management — invite team members with role-based access control

NoctaSell reserves the right to add, modify, or discontinue any feature at any time, with reasonable notice to users.

You agree to use NoctaSell only for lawful business purposes. You must not:

• Use the platform to sell illegal goods or services, or conduct fraudulent transactions
• Process payments for prohibited business categories as defined by Paystack's acceptable use policy
• Attempt to bypass, disable, or interfere with any security feature of the platform
• Reverse-engineer, decompile, or attempt to extract source code from NoctaSell
• Use automated scripts, bots, or tools to access the platform in a manner that creates excessive load
• Misrepresent your identity or business information to customers, partners, or NoctaSell
• Send spam, unsolicited, or deceptive Bulk SMS messages through the platform
• Store or transmit malicious code, viruses, or any software intended to damage systems
• Use the platform in any way that violates applicable Ghanaian laws or international regulations

Violation of these terms may result in immediate suspension or termination of your account without refund.

NoctaSell provides a Business Wallet that receives settlements from Paystack-processed payments (Mobile Money and card). The wallet balance represents funds that have settled from verified payment transactions.

You retain full ownership of all business data you enter into NoctaSell — including your products, customer records, orders, invoices, and transaction history. NoctaSell does not claim ownership of your data.

You grant NoctaSell a limited, non-exclusive licence to store, process, and display your data solely to provide the platform services to you. We will not use your business data for any other purpose without your explicit consent.

You are responsible for the accuracy of the data you enter and for ensuring you have the right to use any customer data you upload, in accordance with applicable data protection laws.

NoctaSell and its original content, features, and functionality are owned by NoctaSell and protected by intellectual property laws. Our trademarks, logos, and service marks may not be used without prior written permission.

You may not copy, reproduce, distribute, or create derivative works from any part of NoctaSell without explicit written consent. Feedback or suggestions you provide to us may be used by NoctaSell without obligation to compensate you.

NoctaSell integrates with third-party services including Paystack (payments) and SMS providers. Your use of these services through NoctaSell is also governed by those providers' own terms and policies.

NoctaSell is not responsible for the actions, content, or policies of third-party services.

Bulk SMS Sender ID approval is subject to the rules of Ghanaian telecom regulators and our SMS provider. NoctaSell does not guarantee approval timelines or specific delivery outcomes.

To the maximum extent permitted by applicable law, NoctaSell and its directors, employees, and affiliates shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business data, or goodwill
• Service interruptions, data loss, or security breaches beyond our reasonable control
• Errors or delays in payment processing by Paystack or other third-party providers
• Actions or omissions of your team members on the platform

Our total aggregate liability to you for any claim arising under or related to these Terms shall not exceed the amount you paid to NoctaSell in the three months preceding the claim.

NoctaSell provides the platform "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms or your use of NoctaSell shall be subject to the exclusive jurisdiction of the courts of Ghana.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

We may revise these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the platform at least 14 days before the changes take effect. Your continued use of NoctaSell after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using NoctaSell and may close your account.
